Indemnification

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California without regard to its provisions regarding conflicts of law. All disputes which arise under these Terms shall be resolved by confidential binding arbitration under the rules of the American Arbitration Association before a single arbitrator in Los Angeles, California. The decision of the arbitrator shall be final and binding on the Parties. In the event that either party hereto commences an action to enforce any of the provisions of these Terms, the prevailing party in such action shall be awarded from the other party all of the costs (including, without limitation, reasonable attorneys’ fees and court costs) of such action. The parties understand that they otherwise would have a right or opportunity to litigate through a court and have a judge or jury decide their case, but they chose to have any potential disputes between them decided through confidential arbitration. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Site, and supersede and replace any prior agreements we might have between us regarding the Site.
Changes
